In a Luxembourg SARL, an inter vivos transfer to a non-shareholder generally requires the consent of shareholders representing at least three quarters of the share capital; the articles of association may reduce this majority to one half. The statutory rules, the status of the purchaser and the formalities must be examined before signing.

Approval governs the admission of a new shareholder where required by law, the articles of association or applicable agreements. A distinction must be made between authorisation to transfer, completion of the transfer and subsequent formalities. A signature between seller and buyer is not always sufficient to make the transaction enforceable against third parties or complete. Pre-emption clauses and other restrictions must also be examined before setting a timetable.
