Liquidation surplus

A surplus generated at the end of a liquidation, after settlement of obligations and taking account of the repayment of contributions in accordance with the applicable rules.

It does not automatically correspond to the bank balance available during the procedure. Its determination, its distribution among shareholders and its tax treatment must be examined on the basis of the liquidation accounts and the relevant rights.

What this changes in practice

The liquidation surplus is the positive balance that may be returned to shareholders after the liquidation operations and under the applicable calculation rules. It should not be confused with the cash available at the beginning of the winding-up process. Remaining debts, costs and obligations must be dealt with before distribution. The tax treatment of the company and of the beneficiaries must be examined separately.
